General Terms and Conditions of Sale and Services

These General Terms and Conditions of Sale and Services (hereinafter the “Terms”) govern the relationship between:

Motionlab (hereinafter the “Agency”) and any individual or legal entity acting for professional purposes (hereinafter the “Client”).

1 - Scope

These Terms constitute the sole basis of the business relationship.

Any order implies unreserved acceptance of these Terms.

They prevail over any other document from the Client.

2 - Services

Motionlab offers, in particular:

• Motion design video creation (SaaS, startups, SMEs)

• Advertising / promotional videos

• Explainer videos

• Multi-format adaptations (social media / web) & languages

Specifications are detailed on the site or in the quote.

3 - Quotes and orders

Every service is subject to a quote specifying:

• the nature of the services

• price excl. VAT / incl. VAT

• estimated timelines

• number of revisions included

The order is confirmed only after:

• signature of the quote & contract

• upfront payment

4 - Financial terms

Pricing

Prices are stated in euros, excluding VAT.

Payment

• 100% upon ordering

Payment by:

• bank transfer

• Stripe, subject to a 2% fee

Late payment

• penalties: ECB rate + 10 points

• flat-rate compensation: €40

• possible immediate suspension of the project

5 - Production process

The project follows these steps:

1. Brief / strategy call

2. Script & storyboard

3. Video production

4. Revisions

5. Delivery

The project does not move on to the next step without the Client’s approval.

6 - Revisions

Each service includes an unlimited number of revisions at each step. Once a step has been approved, there is no going back. Any revision to a step that has already been approved will be invoiced.

7 - Timelines

Timelines are given for information purposes only.

Motionlab cannot be held liable for delays caused by:

• late feedback from the Client

• requested changes

• a lack of information

8 - Client obligations

The Client agrees to:

• provide the necessary materials on time

• approve each step promptly

• comply with the payment terms

Any delay by the Client results in a shift in the schedule.

9 - Cancellation

In the event of cancellation:

• the deposit paid is non-refundable

• amounts for services already performed remain due

  
  

10 - Intellectual property

Rights are transferred only after full payment.

The Client obtains:

• right of use

• distribution

Motionlab retains the right to:

• showcase the work in its portfolio

• use the projects for commercial purposes

11 - Liability

Motionlab is bound by a best-efforts obligation.

The Agency cannot be held liable for:

• commercial results

• misuse of the videos

• external technical issues (hosting, platforms…)

Liability is limited to the amount paid by the Client.

12 - Subcontracting

Motionlab may use external service providers.

13 - Non-solicitation

The Client shall not recruit or directly contact Motionlab’s service providers for 10 years.

14 - Confidentiality

Information exchanged remains confidential for the entire term of the contract + 2 years.

15 - Personal data

Data is processed in accordance with the GDPR.

16 - Force majeure

Neither party can be held liable in the event of force majeure.

17 - Disputes

In the event of a dispute, an amicable solution will be sought first.
